Wedding Venue Due Diligence Checklist for Buyers
By the time a buyer signs a letter of intent on a venue, they have usually walked the grounds, seen a summary of sales and perhaps watched an event in progress. Wedding venue due diligence is the period in which those impressions are tested against financial records, event contracts, permits, inspections and conversations with staff. A thorough review can uncover issues that affect price, deal structure or whether to proceed at all.
This checklist is general information for buyers of existing, operating wedding venues, banquet halls and event centers. Every transaction is different, and buyers should rely on qualified attorneys, accountants, inspectors and other professionals. Zoning, fire code, alcohol and contract matters vary by state and locality. Nothing here is legal, tax or regulatory advice.

How Findings Affect the Deal
Issues uncovered in due diligence do not always end a transaction. Depending on what is found, buyers may renegotiate price, request seller repairs or a price reduction, adjust how deposits are handled, add escrow or holdback terms, or ask for representations in the purchase agreement. Some findings, such as an approval that does not permit the events the venue relies on, may be reasons to walk away. Lenders may also condition financing on resolving certain items before closing.
Insurance and Claims
Request current insurance policies and claims history, including any guest injury, liquor liability or property claims. Buyers should review coverage needs with a qualified insurance professional.
