Acquiring Additional Home Care Agencies as an Established Operator
Owners who have built a well-run home care agency are sometimes approached by nearby owners who are ready to retire, or see a chance to serve families in a neighboring community. Acquiring an existing agency can bring an established client base, trained caregivers and referral relationships in a single transaction. Growing to multiple home care locations through acquisition can strengthen an agency, but each addition brings more clients to serve, more caregivers to support and more regulatory responsibility.
This article is limited to established operators acquiring existing non-medical home care agencies, or existing operating territories where a franchise system allows, focused on personal care, companion care and homemaker services. It does not address opening new branches or starting new agencies, and it does not cover skilled home health or other clinical providers. It is not legal, regulatory, tax or financial advice.
Why Established Operators Acquire Additional Agencies
- Serving clients and families in nearby communities
- Sharing scheduling, recruiting, training and administrative functions
- Adding experienced caregivers and office staff
- Diversifying clients and referral sources
- Providing a succession path for owners without an internal successor
Evaluating the Next Agency
- Documented cash flow and revenue by payer source, where applicable
- Client and referral concentration
- Caregiver stability and key office staff
- Licensing and regulatory history
- Reputation with clients, families and referral sources
- How well the agency’s care standards and culture match yours
Our home care agency due diligence checklist covers these areas.
Licensing and Program Requirements
Holding a license in one place does not mean an operator can automatically operate an acquired agency. Depending on the state, each location or service area may require its own license or registration, and acquisitions may trigger change-of-ownership requirements or program notices. Requirements vary, and approvals are not guaranteed. See our guide to home care agency change of ownership.
Franchised Territories
Within a franchise system, an established franchisee may be able to acquire another franchisee’s existing territory, subject to franchisor approval and the franchise agreement. Requirements depend on the specific system.
Integrating Without Disrupting Care
Clients and caregivers chose the acquired agency for its people and its approach. Many operators keep familiar staff and practices in place at first, then introduce changes such as scheduling systems or policies gradually and with clear communication. Our guide to home care caregiver retention discusses keeping caregivers engaged through a transition.
Financing an Additional Agency
Established operators have an advantage because lenders can review their track record. Lenders will typically evaluate:
- The target agency’s documented cash flow
- The operator’s existing financial statements and debt
- Combined cash flow and the ability to support all debt payments and payroll
- Licensing and program considerations for the acquired agency
- Liquidity after closing
Depending on the deal, financing options may include SBA loans, subject to eligibility, as explained in our guide to SBA loans for home care agencies, or conventional business loans for qualified borrowers. Eligibility and terms vary by lender, program and transaction.
Entity Structure
Some operators hold each agency in a separate company; others combine them. Structure affects liability, taxes, licensing and how lenders take collateral or guarantees. Review these choices with legal, tax and regulatory advisors.
Pacing Growth
Adding agencies too quickly can strain recruiting, management attention and cash reserves for payroll. Many operators stabilize each acquisition before pursuing the next.
Growing Responsibly
Acquiring additional agencies works best when existing operations are stable, the target is evaluated carefully, clients and caregivers are treated with respect through the transition and financing fits combined cash flow. No acquisition can guarantee results.
