Birthday Parties, Group Bookings and Deposits When Buying a Family Entertainment Center
At many family entertainment centers, the calendar is full of commitments made long before a buyer arrives: birthday parties booked by parents, school field trips, summer camp visits, youth sports celebrations, church groups and corporate outings. Birthday parties and group bookings can be a valuable part of the business, but they also come with deposits, promises and expectations that a buyer inherits. Understanding how these bookings are handled at closing is an important part of any acquisition.
This article is general information for buyers and sellers of existing, operating family entertainment centers. It does not provide figures for party volume or deposits. How deposits, prepaid amounts and booking contracts are treated in a sale depends on the purchase agreement and applicable law, which varies by state. Buyers and sellers should work with qualified attorneys and accountants. Nothing here is legal, tax or accounting advice.
What Buyers Inherit
- Future party reservations: dates, packages and pricing already promised to customers
- Group events: school trips, camps and organization outings, sometimes under written agreements
- Customer deposits: amounts collected in advance for events that have not yet occurred
- Prepaid products: gift cards, prepaid party packages, passes and memberships
Why Deposits Matter at Closing
When a customer pays a deposit, the seller receives the cash, but the event still has to be delivered. If the seller keeps the deposits and the buyer hosts the events, the buyer may bear the cost of those parties without receiving the matching revenue. Purchase agreements may address this through a credit to the buyer, a transfer of funds or another mechanism negotiated by the parties and their counsel.
Reconciling the Booking Calendar
Buyers should request a schedule of every future booking with the date, package, price, deposit received and balance due, and compare it to the booking system and bank records. Holds without deposits, duplicate entries or bookings at discounted prices that no longer reflect current pricing should be identified. Our family entertainment center due diligence checklist covers the broader review.
Booking Terms and Customer Expectations
Review cancellation, refund and rescheduling terms, how they have been applied and whether the business has honored them consistently. A buyer who changes packages or policies immediately after closing may risk complaints from customers who booked under the seller’s terms.
Group Accounts and Concentration
Some centers rely on a small number of schools, camps or organizations for group business. Buyers may want to understand those relationships, how they are maintained and whether they depend on the owner personally.
Seasonal Patterns
Party and group demand frequently follows school calendars and holidays, so the size of the booking calendar at closing may depend on the time of year. See our article on family entertainment cash flow.
How Lenders View Bookings and Deposits
Lenders may ask how deposits will be handled at closing because it affects the buyer’s early cash position. They generally base decisions on documented historical cash flow rather than future bookings alone.
Using Deal Structure
Where uncertainty remains, buyers and sellers sometimes use structure to share risk, such as a seller note or adjustments tied to post-closing performance. See our article on family entertainment center seller financing. For sellers, organizing the booking calendar early can support a smoother sale; see our guide on how to sell a family entertainment center.
Where Parties Fit in the Revenue Mix
Parties and groups are only one part of the business. Our article on family entertainment revenue mix explains how they compare with admissions, food and beverage, arcade and memberships.
